The rules and agreements governing your use of BuildSynq

Please read these Terms of Service carefully before using BuildSynq. By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and BuildSynq, Inc. ("BuildSynq," "we," "us," or "our"). These Terms govern your access to and use of our construction management platform, mobile application, website, APIs, and all related services (collectively, the "Services").

By accessing or using our Services, you represent that you are at least 18 years of age, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations.

To use most features of BuildSynq, you must create an account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at privacy@buildsynq.com if you suspect unauthorized use of your account.

5. Payments and Fees

BuildSynq charges a 2.9% transaction fee on payments processed through the platform. Additional subscription fees apply for Commercial and Government tiers. All fees are disclosed at time of purchase and are non-refundable except as required by law.

All payments are processed via Stripe and are subject to Stripe's Terms of Service. BuildSynq uses the Solana blockchain as a tamper-proof audit trail — milestone approvals and payment records are written to the blockchain for verification purposes only. No money moves on-chain.

BuildSynq uses artificial intelligence to provide risk scoring, cost estimates, payment automation recommendations, and project intelligence. You acknowledge that:

BuildSynq owns all intellectual property rights in the Services, including software, algorithms, AI models, trademarks, and content. You retain ownership of the data and content you upload to the platform. By uploading content, you grant BuildSynq a limited license to use it to provide and improve our Services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BUILDSYNQ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. BUILDSYNQ DOES NOT GUARANTEE THE ACCURACY OF AI-GENERATED OUTPUTS, RISK SCORES, OR COST ESTIMATES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUILDSYNQ'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO BUILDSYNQ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100. BUILDSYNQ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless BuildSynq, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

12. Termination

BuildSynq may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or at our discretion with 30 days notice. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive termination will survive.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by JAMS under its Commercial Arbitration Rules, conducted in Michigan. You waive the right to participate in class action lawsuits.

14. Changes to Terms

We may update these Terms periodically. We will notify you of material changes at least 30 days in advance. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
